Welcome to Incorptex, operated by Incorptex LLC ("Incorptex," "we," "our," or "us"). These Terms of Service (the "Terms") constitute a legally binding agreement between you ("Subscriber," "User," "you," or "your") and Incorptex governing your access to and use of our website located at incorptex.com (the "Site"), our customer workspace (/client-area), and all products, applications, APIs, compliance vaults, and services provided by Incorptex (collectively, the "Services").
By accessing our Site, registering an account, purchasing an entity formation, subscribing to add-ons, or uploading documents to the vault, you expressly acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you hold full legal power and corporate authority to bind that entity to these Terms.
Your access to and use of specific features (including our Registered Agent facility, automated bookkeeping ledger, cloud virtual private server infrastructure, and US VoIP telephony network) is further governed by the product-specific policies detailed in Sections 5 through 8 below, each of which is formally incorporated into these Terms by reference.
2.1 No Legal, Tax, or CPA Advice: Incorptex is a technology platform and business document filing company, NOT a law firm, Certified Public Accountant (CPA) firm, attorney, or financial advisory practice. Incorptex does not perform services that must legally be performed by licensed attorneys or CPAs. At no time is an attorney-client or CPA-client confidential relationship formed between you and Incorptex. None of the materials, automated formation forms, articles, guides, knowledge base articles, or communications across email, phone, or live chat constitute formal legal, tax, or accounting advice. You are solely responsible for consulting an independent licensed attorney or certified tax professional for legal advice regarding your entity structure, operating agreement governance, or IRS tax posture (including Forms 5472, 1120, and Schedule C).
2.2 Age & Capacity: You must be at least eighteen (18) years of age and fully capable of entering into legally enforceable contracts under applicable municipal, state, and international law.
2.3 Accuracy of Submitted Information: You represent and warrant that all data, names, addresses, member/manager details, beneficial ownership records, and identity files submitted to Incorptex are accurate, complete, and truthful. You warrant that you have obtained all required third-party consents from all individuals and corporate entities listed in your formation filings.
2.4 Artificial Intelligence Assistance: You acknowledge that Incorptex utilizes automated algorithmic pipelines, natural language processing, and artificial intelligence (AI) systems to assist in document extraction, intake review, telecom routing, and support triage. AI-generated summaries are provided strictly for convenience; all final commercial and business decisions remain your sole responsibility.
2.5 Abandoned Orders & Liquidated Damages: If you place an order for entity formation, tax filing, or compliance services and fail to provide the documentation, questionnaire responses, or identity proofs (e.g., passport scan, beneficial owner details) necessary to complete your order within one hundred twenty (120) calendar days, the order will be deemed abandoned and canceled. Both parties explicitly acknowledge that Incorptex incurs immediate operational, overhead, server reserve, and administrative expenses upon order intake. Abandoned orders will result in liquidated damages retained by Incorptex equal to 100% of the amount paid as agreed reimbursement for our operational commitment.
3.1 E-Signature & Organizer Appointment: By placing an order for statutory formation or state filings, you grant Incorptex and its authorized agents power of attorney and consent to take all steps required to organize your entity. This includes: (a) listing Incorptex, its employees, or a designated representative as the initial organizer or incorporator of your entity; (b) affixing your digital signature (or that of your appointed manager) to formation documents; (c) preparing and filing Articles of Organization / Articles of Incorporation with Secretary of State registries; and (d) resigning as the initial organizer immediately upon state acceptance.
3.2 Withdrawal of Filing Consent: You may revoke filing consent at any time before documents are lodged with the government agency by calling +1 (270) 787-9110 or emailing support@incorptex.com. Once an application has been transmitted to a Secretary of State or regulatory office, this consent is irrevocable.
3.3 IRS Form SS-4 (Employer Identification Number): Incorptex acts as an authorized third-party designee as described in the instructions to IRS Form SS-4 to submit EIN applications on your behalf. Incorptex is an independent commercial service and is in no way affiliated with the Internal Revenue Service (IRS). Founders may complete an EIN application on their own at no charge via the official IRS.gov portal. Incorptex does not verify the tax classification or election decisions made by the client.
3.4 Government & Third-Party Processing Timelines: Any timelines displayed on our Site or communicated via email are estimates based on standard agency turnarounds. Actual delivery times vary based on state backlogs, federal holidays, IRS fax queues, and third-party partner verification. Incorptex is not liable for business interruptions, missed contracts, or losses arising from government processing delays.
3.5 Banking & Financial Institution Disclaimers: Incorptex is not a bank, broker, or financial institution. While we may assist in assembling corporate binders or issuing technical introductions to neo-banks (e.g., Mercury, Relay, Wise, Brex), the ultimate underwriting decision to approve or reject a commercial bank account or payment gateway rests solely with that financial institution. Incorptex does not guarantee bank account approval, and non-approval does not entitle the client to a refund of formation fees.
3.6 International Sanctions Compliance: Incorptex adheres strictly to U.S. Office of Foreign Assets Control (OFAC) regulations and international anti-money laundering (AML) laws. Incorptex cannot form entities, maintain registered agent services, or provision telephony for individuals residing in sanctioned territories, including: Belarus, Burundi, Central African Republic, Cuba, Democratic Republic of the Congo, Iran, Iraq, Lebanon, Libya, Nicaragua, North Korea, Somalia, South Sudan, Sudan, Syria, the Crimean, Donetsk, and Luhansk regions of Ukraine, Venezuela, Yemen, and Zimbabwe.

If default continues past forty-five (45) days, Incorptex will execute and file a formal Certificate of Resignation of Registered Agent with the Secretary of State. Upon resignation, Incorptex bears zero legal duty to receive, scan, or forward documents, and all subsequent legal mail will be marked "Return to Sender" or destroyed without liability.
5.6 Contingency Substitution & Passthrough Fee Guarantee: In the event that an underlying statutory partner, regional commercial agent, or assigned registry vendor ceases operations, experiences licensing suspension, or terminates representation, Incorptex shall promptly prepare, execute, and file an official Statement of Change of Registered Agent / Registered Office with the state filing registry to preserve your entity’s active legal standing.
